These Terms and Conditions (“Terms”) govern your access to and use of www.so-brite.com (the “Site”), operated by So-Brite (“So-Brite,” “we,” “us,” or “our”). By accessing or using the Site, registering for an account, applying to become a dealer, or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

This document is a general template and does not constitute legal advice. We recommend having it reviewed by a qualified attorney familiar with your business and the jurisdictions in which you operate before publishing it.

1. Nature of the Site; Dealer Program

So-Brite supplies premium LED lighting products, including permanent holiday lighting and landscaping lighting solutions, primarily to authorized dealers and businesses across North America, as well as to retail customers where offered. Certain pricing and products are only visible or available to users who have registered for an account and, where applicable, been approved as an authorized dealer. Approval as a dealer is at So-Brite’s sole discretion, and So-Brite may suspend or terminate dealer status at any time for any reason.

2. Eligibility and Accounts

  • You must be at least 18 years old and capable of forming a binding contract to create an account or place an order on the Site.
  • You agree to provide accurate, current, and complete information when creating an account or applying for a dealer account, and to keep this information up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You must notify us promptly of any unauthorized use of your account.

3. Products, Pricing, and Availability

  • Product descriptions, images, and specifications are provided for general informational purposes. We do not warrant that product descriptions or other content are accurate, complete, or error-free.
  • Prices displayed on the Site (including dealer pricing visible after login) are subject to change without notice. Prices in effect at the time an order is placed will apply to that order, except in cases of pricing errors, in which case we reserve the right to cancel or correct the order.
  • We reserve the right to limit quantities, refuse or cancel orders, and discontinue products at our discretion, including orders that appear to be placed by resellers outside our dealer program, fraudulent, or in violation of these Terms.

4. Text Messaging (SMS) Program

By providing your mobile phone number and opting in through the Site, checkout, or any other sign-up method, you consent to receive recurring automated text messages from So-Brite (or our messaging platform on our behalf) at that number, including order and shipping updates, account notifications, and/or marketing and promotional messages, depending on the program(s) you join.

  • Consent to receive text messages is not a condition of purchasing any products or services.
  • Message frequency varies. Message and data rates may apply, as charged by your mobile carrier.
  • You may opt out of text messages at any time by replying “STOP” to any message you receive from us. You will receive a one-time confirmation that you have been unsubscribed, and no further messages will be sent unless you opt in again.
  • For help, reply “HELP” to any message, or contact us using the information in Section 18.
  • We are not responsible for delayed or undelivered messages, or for any charges imposed by your carrier.
  • Not all mobile carriers may be supported, and message deliverability is not guaranteed.
  • A single opt-in is specific to the phone number and program provided and does not constitute consent for any other messaging program or third party.

5. Orders and Payment

  • By placing an order, you represent that you are authorized to use the payment method provided and that all information you supply is accurate.
  • Payment is processed through third-party payment processors. We accept Visa, Mastercard, and American Express, and other methods as indicated on the Site.
  • An order is not accepted, and no contract of sale is formed, until we confirm shipment or otherwise accept the order.
  • Sales, use, and other applicable taxes will be calculated and added where required by law.

6. Shipping and Delivery

Shipping methods, costs, and estimated delivery times will be provided during checkout or communicated separately. Delivery dates are estimates only and are not guaranteed. Risk of loss and title to products pass to you upon delivery to the carrier, unless otherwise required by law. You may track the status of your order using our order tracking tool.

7. Returns, Refunds, and Warranty

Any return, refund, exchange, or product warranty terms applicable to purchases from the Site will be provided separately or made available at checkout or upon request. Please contact us before returning any product. Nothing in these Terms limits any warranty rights you may have that cannot be waived under applicable law.

8. Intellectual Property

All content on the Site, including text, graphics, logos, product images, and product designs, is owned by So-Brite or its licensors and is protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any content on the Site without our prior written consent, except as necessary to use the Site for its intended purpose or to promote products purchased through an authorized dealer relationship.

9. User Content

If you submit reviews, testimonials, blog comments, or other content to the Site, you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, display, and distribute that content in connection with operating and promoting our business. You represent that any content you submit is your own, is accurate, and does not violate the rights of any third party. We reserve the right to remove any user content at our discretion.

10. Prohibited Uses

You agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms.
  • Attempt to gain unauthorized access to any portion of the Site, other accounts, or our systems or networks.
  • Interfere with or disrupt the operation of the Site or servers or networks connected to the Site.
  • Use any automated means, including bots or scrapers, to access the Site or extract data without our prior written consent.
  • Misrepresent your identity or affiliation, or use the Site to resell products in a manner inconsistent with your dealer agreement, where applicable.

11. Third-Party Links

The Site may contain links to third-party websites or services, including social media platforms. We do not control and are not responsible for the content, policies, or practices of any third-party sites.

12. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT AS EXPRESSLY STATED IN A SEPARATE WRITTEN WARRANTY OR AS REQUIRED BY APPLICABLE LAW.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SO-BRITE AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PURCHASE OF PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE SIX MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless So-Brite and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona, and you consent to personal jurisdiction in those courts.

16. Changes to These Terms

We may revise these Terms from time to time. The “Effective Date” above indicates when these Terms were last revised. Changes are effective when posted to the Site, and your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

17. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with any dealer agreement, order confirmation, or other policies referenced herein, constitute the entire agreement between you and So-Brite regarding use of the Site.
